After analysing and assessing the current operations and business of the bank, we analysed the current trends in private banking and assessed the business models of other private banking institutions. This lead to a strategic gap analysis of our client. Based upon the gap analysis and valuation considerations of the private banking market, we identified and prioritised strategic options for our client.

For a diversified financial services group, Group Management mandated Gut Corporate Finance to identify strategic options for one of their divisions. We conducted market analysis to evaluate the attraction of the market in the future. Based on this analysis, the strategic positioning of our client was evaluated and various strategic options were identified, specified and prioritised.

Preliminary study and analysis of possible options for a change in the shareholder structure

In a first phase, we have performed a preliminary study with the purpose to analyze possible options and approaches for a majority acquisition of the company. In this preliminary study we could define together with the client the requirements for a potential majority investor and identify, assess and prioritize possible options. In the second phase and based on the results of the preliminary study we further analyzed the selected options. In the framework of the detailed concept we evaluated in detail the attractiveness of each option, identified and evaluated potential investors and assessed the feasibility of a transaction.

Support in definition of the strategy process and formulation of strategic positioning

Regional bank

Details

Following changes in the Board of Directors and in the Executive Committee, a Swiss regional bank has contacted us to assist management in the determination of the strategy process and the formulation of strategic positioning. We identified strengths, weaknesses, opportunities and threats (SWOT) based on the historical profitability and the environmental and competitive analysis and formulated strategic options. The results were presented and discussed during a BoD-workshop based on which corresponding measures were resolved.

The owners of a leading Swiss service company in the construction industry mandated Gut Corporate Finance to assist them in the context of a succession planning initiative. We performed a strategic business review and company valuation and identified strategic options for the owners. Included in the analysis of strategic options was a comprehensive investor search based on pre-determined criteria.

Details

In the context of the internal evaluation of the company's strategy and its financial impacts we have created an interactive simplified financial model for the management of a private bank. With the help of this financial model the financial impact of various scenarios of the business plan were presented. In addition, we carried out a valuation of the private bank by applying recognized valuation methods. The financial model was based on the core value drivers of a private bank and took into consideration the main aspects of the legal and regulatory requirements relating to the capital structure of a bank. Using the model, management could calculate and present the potential impact of the changing conditions on the future profitability and the company value.

Valuation in the context of a financing round

Details

The shareholders of a company that manages and conducts clinical trials for pharmaceutical companies asked us to determine the value of the business as a basis for a financing round. We applied a market valuation based on comparable companies and transactions as well as an income valuation based on a discounted cash flow analysis. We relied on various data sources including historical company financials, a business plan and selected market data.

A commodity producer and trader has entered into an option agreement to sell its shareholding in a joint venture to the partner. We developed a financial model to determine the option values at inception of the contract and the expected development until maturity.

Details

The Board of Directors of a Swiss listed industrial company mandated Gut Corporate Finance to advise the Board in connection with their financial restructuring. We accompanied and reviewed the work of management and their advisors, critically reviewed the results and decisions and provided the Board with a second opinion on the planned steps and procedures.

We have been mandated to analyse the capital structure of a diversified financial services group, its cost of capital and the capital allocation to the individual divisions for an improved measurement of the value added.

Details

Gut Corporate Finance supported a medium-sized, listed and diversified industrial holding company in connection with the planned acquisition of a privately-held Swiss company that offers construction-related services. We assisted the Group CFO in achieving an acquisition financing solution. This role included the financial modelling of a combined business plan of both the holding company and the target as well as bank selection and contract and term sheet negotiations with banks. In addition, we led the project team in collaboration with the Group CFO, co-ordinating other advisors (e.g. tax and legal) and acting as a central point of contact for all parties involved.

In the context of the anorganic growth strategy, a Swiss private bank mandated us to assist them in identifying suitable acquisition targets. Based on the analysis of the current situation and strategic orientation of the company, we formulated and prioritized the acquisition criteria. Thereafter, based on the established list of requirements we screened the Swiss private banking market and identified possible acquisition targets.
